Terms of Service
1. The agreement
These Terms of Service ("Terms") govern your access to and use of the Clankit desktop application, the website at clankit.app, and related services (collectively, the "Services"). By installing, opening, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. License to use Clankit
Clankit ships in two parts under different terms:
- Desktop frontend (open source). The desktop frontend source code is published at github.com/XiamiYoung/ClanKit under the license noted in that repository. Your rights to fork, audit, modify, or self-host that code are governed by that license, not by these Terms.
- Multi-agent runtime, hosted services, and pre-built binaries. Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the official Clankit binaries on devices you own or control, for your own internal use, whether commercial or non-commercial.
For the closed-source components and the official binaries, you may not:
- Resell, sublicense, rent, or lease the Services.
- Reverse-engineer those closed-source components except to the extent expressly permitted by applicable law.
- Remove or alter any proprietary notices.
- Use the Services to build a competing product, or to scrape or copy their interface.
3. Account & sign-in
Some features (license activation, paid plans when launched, certain cloud-backed services) require you to sign in with a Clankit account, currently provisioned through Sign in with Google. You are responsible for maintaining the confidentiality of your Google credentials and for everything that happens under your Clankit account. Notify us promptly at hello@clankit.app if you suspect unauthorized use.
4. Third-party services
Clankit is designed to interoperate with third-party services you connect: language-model providers (Anthropic, OpenAI, OpenRouter, etc.), Model Context Protocol (MCP) servers, HTTP APIs, instant-messaging bridges (Microsoft Teams, Feishu), email/SMTP servers, and similar. By configuring such services in Clankit:
- You authorize the application to send requests to those services using credentials you provide.
- You agree to comply with the third party's own terms of service and privacy policy.
- You acknowledge that we have no control over the availability, output, accuracy, or fees of those services.
- You are solely responsible for charges incurred under your provider accounts.
5. Acceptable use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights.
- Generate, distribute, or facilitate child sexual-abuse material or other illegal content.
- Generate content that defames, harasses, threatens, or incites violence against any person or group.
- Engage in deceptive impersonation of real people or entities, including via voice cloning or other generative content.
- Build malware, phishing campaigns, or systems designed to defeat security controls of any service.
- Attempt to disrupt, overload, or gain unauthorized access to the Services or any third-party systems.
- Use the Services in safety-critical environments (medical diagnosis, life-support, weapons systems, autonomous vehicles, infrastructure control) where failure could cause death, personal injury, or environmental damage.
6. Agent tools & automation risk
Clankit lets agents execute real actions on your computer and on remote services: running shell commands, modifying files, sending emails, calling APIs, posting messages, and more. You are solely responsible for what the agents you configure do under your authority.
Clankit provides per-tool permission gating, allowlists, and a one-press cancel for in-flight runs. You agree to use these controls and accept the residual risk of automated execution.
7. Your content
Anything you write into Clankit, import into the knowledge base, or generate via an LLM ("Your Content") remains yours. We claim no ownership of Your Content. Because Clankit is local-first, Your Content stays on your device by default; we do not have access to it.
You represent that you have the rights necessary to use Your Content with the Services, and you are responsible for ensuring its use does not infringe any third-party intellectual-property right or violate any law.
8. Fees
The Clankit desktop application is free to download and use. Some features (e.g. premium skills, hosted services, marketplace listings) may be offered for a fee in the future. If a paid plan launches, we will publish pricing terms before charging you, and your continued use after the change will require explicit consent.
Costs charged by third-party LLM providers, MCP servers, hosting providers, and other connected services are not covered by Clankit and remain your responsibility.
9. Intellectual property
The Clankit name, logo, website, application binaries, source code (where not open-sourced), documentation, and all related branding are owned by Clankit or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers ownership of those assets to you.
10. Disclaimer of warranties
The Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Services will be error-free, that AI output will be accurate or appropriate, or that any specific result will be achieved.
11. Limitation of liability
To the maximum extent permitted by law, Clankit and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Services — even if we have been advised of the possibility of such damages.
Our total liability for any claim arising out of or related to the Services is limited to the greater of (a) the amount you paid Clankit in the 12 months preceding the claim, or (b) USD $50.
12. Indemnification
You agree to defend, indemnify, and hold harmless Clankit and its affiliates from any claim, demand, or damage, including reasonable attorneys' fees, arising out of (a) your use of the Services, (b) Your Content, (c) tools or actions you authorized agents to perform, or (d) your violation of these Terms or any third-party right.
13. Termination
You may stop using the Services at any time by uninstalling the application and deleting your data folder. We may suspend or terminate your access to cloud-backed features if you breach these Terms or engage in conduct that creates risk for us or other users. Provisions that by their nature survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will remain in effect.
14. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which Clankit is established, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved in the competent courts of that jurisdiction, except where mandatory consumer-protection law requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will revise the "Last updated" date and, where appropriate, post a notice in the application. Continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
